Size class of a German corporation — and the audit requirement

Three criteria count: balance-sheet total, turnover and average headcount. A company stays in a class as long as it does not exceed two of the three thresholds, and a change takes effect only when thresholds are crossed on two consecutive balance-sheet dates. Only small and micro companies escape the statutory audit.

Sources and assumptions

Calculation assumptions

  • The thresholds in force since 17 April 2024 apply, for financial years beginning after 31 December 2023 (EGHGB art. 93).
  • The input is the size class that applied to the preceding financial year (as determined at the previous balance-sheet date): it continues to apply until thresholds are crossed on two consecutive balance-sheet dates (HGB s. 267(4)).
  • Individual accounts only; group accounts (HGB s. 293) and partnerships under HGB s. 264a are outside the scope.
  • The company is not an investment company, a venture-capital company or a pure holding, which HGB s. 267a(3) excludes from the micro class.
