German bookkeeping obligation — AO s. 141 and HGB s. 241a
The two provisions carry the same amounts and do NOT count the same years. Anyone reading only s. 141 of the Fiscal Code believes they are free while the commercial-law exemption has long gone — for example because the YEAR BEFORE LAST was over the limit.

Calculation assumptions
- Companies and commercial partnerships must keep books whatever their figures: for them these limits say nothing.
- The inputs are the two most recent closed financial years — HGB s. 241a requires two consecutive balance-sheet dates.
- Without the special cases: agriculture and forestry (AO s. 141(1) no. 5, calendar year instead of financial year), newly formed businesses (HGB s. 241a sentence 2) and transfers of a business (AO s. 141(3)). Liberal professions (Freiberufler) are not covered: AO s. 141(1) names only "Gewerbliche Unternehmer sowie Land- und Forstwirte" (traders and farmers or foresters).
- Simplification: one figure per year for both provisions. AO s. 141 measures total turnover within the meaning of UStG s. 19(2) sentence 1 (on amounts received, per CALENDAR year) and profit from trade; HGB s. 241a measures revenue and annual surplus at the balance-sheet date. Where the figures are close to a limit, or the financial year differs from the calendar year, test both measures separately — they can fall on different sides of the limit.
- Anyone who must keep books under the Commercial Code (HGB s. 238) must meet that obligation for tax purposes too under AO s. 140 — without any notification from the tax office. The notification under AO s. 141(2) concerns only the obligation under AO s. 141, which expressly applies only "wenn sich eine Buchführungspflicht nicht aus § 140 ergibt" (where no bookkeeping obligation arises from s. 140).
