Worked example

The premises that were not in the price

A buyer negotiates a hair salon at 180 000 €, walls included as she understood from the discussions. The deed, read closely, transfers only the business: clientele, equipment, sign and lease right. The premises stay the property of the seller, who becomes her landlord. The price remains defensible, but the deal changes nature: she buys a business and inherits a lease, instead of acquiring property and trade together.
