Form 2033-F — composition of share capital (simplified regime)
Form 2033-F declares WHO OWNS the company: the list of individuals and legal entities holding at least 10% of the capital directly, with their full identity, their percentage and their number of shares. Counters 901 to 906 give the numbers. It is the exact counterpart of form 2059-F for the simplified regime, with one difference that matters: the header asks here for the nine-digit company number, where the standard regime asks for the fourteen-digit establishment number.

Who this applies to
- Simplified-regime companies, whatever their number of shareholders
- Companies where a shareholder holds at least 10% of the capital directly
- Accountants and directors preparing the year-end package
Worked example
Example: SARL Bertin and its two shareholders
SARL Bertin has 1,000 shares. Its manager, Mr Marc Bertin, holds 700 (70%), and the family holding BERTIN INVEST SARL (company number 901 234 567) holds 300 (30%). The counters therefore read 901 = 1 legal entity for 902 = 300 shares, and 903 = 1 individual for 904 = 700 shares; totals 905 and 906 are 2 shareholders and 1,000 shares. Each fills a block, with its legal form or personal details, address and percentage.
How to fill it in, step by step
- Complete the header: closing date, company number, name, address, postcode and town.
- Count the shareholders reaching 10%: legal entities in box 901, individuals in box 903, and their shares in boxes 902 and 904.
- Total in boxes 905 and 906.
- Detail each legal entity: legal form, name, company number if established in France, percentage, share count, full address.
- Detail each individual: title, family name, name in use, given names, date and place of birth, percentage, share count, address.
The form, line by line
- 901 to 906 — the counters
- 901 and 903 count PEOPLE, 902 and 904 count SHARES; 905 and 906 are their totals. These are numbers, not euro amounts.
- Company number in the header
- Nine digits, where form 2059-F under the standard regime asks for a fourteen-digit establishment number. Two twin forms, two different identifiers.
- Shareholder's company number (if established in France)
- The parenthesis matters: a legal-entity shareholder established outside France has none, its boxes stay empty, and the country of its address identifies it.
- Title (2)
- Footnote (2) fixes the format: "M" for Monsieur, "MME" for Madame. It is not a free-text field.
- Its official title: "tableau de composition du capital social" (CERFA no. 11622)
- The simplified-regime tables are not standalone forms: they are schedules to form 2033-SD (CERFA no. 15948), which is itself attached to profit return 2031-SD.
Good to know
- The 10% threshold applies to DIRECT holdings: an indirect stake through an intermediate holding company does not belong here.
- The form is filed even when no shareholder reaches 10% — the "Néant" box is then ticked.
- The form offers four blocks for legal entities and two for individuals; beyond that, footnote (1) requires numbered additional sheets.
- A sole trader has no share capital: it does not complete this form.
Common mistakes
- Declaring shareholders below the 10% threshold, which the form does not ask for — and which exposes personal data with no obligation.
- Entering a fourteen-digit establishment number in the header, which expects only nine.
- Confusing family name and name in use, or entering only the latter.
- Entering a French company number for a foreign company: the box is reserved for entities established in France.
Frequently asked questions
How does it differ from form 2059-F?
Same object under two regimes: the list of shareholders at 10% and above. The differences are the header identifier — company number here, establishment number there — and the counter box numbers. A business files one or the other, never both.
Must every shareholder be declared?
No: only those holding at least 10% of the capital DIRECTLY. Counters 901 to 906 cover those shareholders alone.
Must a single-shareholder company file it?
Yes, and it is then very short: one shareholder holding 100%, detailed in the block matching its nature.
What if a shareholder is a foreign company?
It goes in the legal-entity block, with no French company number, but with its legal form, name, address and country.
