Calculation assumptions

  • Only the ownership percentage and the holding period are tested. The form of the shares (registered or held in an account with an authorised intermediary, held in full or bare ownership), the legal form and tax status of both parent and subsidiary, and the alternative threshold of 2.5 % of capital together with 5 % of voting rights, are not checked.
  • A holding period shorter than the statutory term does not bar the exemption: it makes it revocable. If the shares are sold before the term, the company must pay the Treasury the tax it was unduly exempted from, plus late interest. The calculation grants the exemption and flags the risk.
  • The reduced share of costs assumes a stake in another company of the same tax-consolidated group held for more than one financial year, or a European subsidiary that has met the conditions to form such a group for more than one financial year. The calculator does not check that seniority.
  • Corporate income tax is computed over a twelve-month financial year, excluding additional contributions, tax credits attached to participation income, and carried-forward losses.
