Dividend or director's salary? — German GmbH tax comparison

A distributed profit first bears the company's taxes (trade tax, corporation tax and solidarity surcharge — trade tax is not deductible) and then the flat tax on capital income. A salary is a business expense for the GmbH and is taxed only in the director's hands, at their marginal rate. Which route wins depends on the marginal rate and on the municipal multiplier.

Sources and assumptions

Calculation assumptions

  • The director is not subject to social insurance (e.g. a controlling shareholder-director); social contributions on the salary are not included.
  • Income tax on the salary uses the marginal rate entered; employment-expense allowances are assumed already used.
  • Church tax is not included.
  • The amount is the GmbH's only trading profit, in a single municipality; a multiple of EUR 100 avoids the rounding down.
